1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "You," or "Your") and MyDanceStar Online, its owners, operators, managers, employees, and affiliates (collectively, "We," "Us," or "Platform"). By accessing, browsing, or using this Platform, you unconditionally accept and agree to comply with these Terms in their entirety.

BY ACCESSING OR USING MYDANCESTAR ONLINE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, DO NOT USE THIS PLATFORM.

2. Platform Description

MyDanceStar Online is a technology marketplace platform that connects dance instructors, studios, artists, and students. We provide tools for profile creation, course hosting, booking management, payment processing (via Stripe Connect), membership management, upsells, commissions, and community features.

CRITICAL DISTINCTIONS:

• We are a technology platform only and do not provide dance instruction, certification, or any professional services directly.
• Platform does NOT host video files. All video content is embedded from third-party providers (YouTube, Vimeo, etc.). We only display embedded content.
• Instructors and studios are independent sellers, not employees or agents of MyDanceStar Online.
• Platform Memberships (Instructor Pro, Studio Pro) provide access to platform tools, dashboards, and analytics. These are separate from instructor/studio memberships sold to students.
• Instructor/Studio Memberships are owned and managed by individual instructors or studios. The platform facilitates payments and commission splits but does not own these memberships.

3. No Liability - Complete User Responsibility

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

• The Platform is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, whether express or implied.
• We are not responsible or liable for: Any injuries, damages, losses, or accidents that occur during dance classes, workshops, events, or any activities arranged through this Platform.
• All dance activities carry inherent risks including but not limited to: physical injury, muscle strains, sprains, fractures, cardiovascular events, or death.
• You assume all risks associated with participating in any dance activities, classes, workshops, certifications, or events found or arranged through this Platform.
• Instructors, studios, and artists listed on this Platform are independent contractors and are not employees or agents of MyDanceStar Online.
• We do not independently guarantee the professional quality, safety practices, or fitness of any instructor, studio, or artist. Where MyDanceStar displays a “Verified Credential,” that verification is limited to the issuance/status recorded in the MyDanceStar credential registry and is not a guarantee of skill, safety, licensing, or suitability for any particular user.

4. Indemnification

You agree to indemnify, defend, and hold harmless MyDanceStar Online, its owners, operators, managers, employees, contractors, affiliates, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

• Your use or misuse of the Platform
• Your participation in any dance classes, workshops, events, or activities
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any injuries, damages, or losses you suffer or cause to others
• Any content you upload, post, or transmit on the Platform

5. Limitation of Liability

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform
• Any injuries, accidents, or medical emergencies during dance activities
• Unauthorized access, use, or alteration of your transmissions or content
• Any errors, mistakes, or inaccuracies of content or information

Our total liability to you for all damages, losses, and causes of action shall not exceed the amount you paid us in the last twelve (12) months, or one hundred U.S. dollars ($100.00), whichever is less.

6. User Conduct and Responsibilities

You agree to:

• Use the Platform in compliance with all applicable laws and regulations
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Not engage in any fraudulent, abusive, or illegal activities
• Not upload content that infringes on intellectual property rights
• Consult with your physician before participating in any physical activities
• Verify the credentials and safety practices of instructors independently

7. Payment, Commission, and Refund Policy

Creator-First Commission Structure:

Payment Processing:

• Payments are processed through Stripe using the payment topology applicable to the transaction and connected-account configuration.
• Creators must complete the payment-account onboarding and identity requirements shown by the Platform before they can receive eligible creator funds.
• Stripe processing, currency-conversion, payout, or other processor fees may apply depending on transaction method, geography, account configuration, and Stripe's then-current pricing.
• We are not responsible for payment processing errors, delays, or failures caused by Stripe, banks, card networks, or other payment providers.

Canonical Creator-Product Calculation:

1. Amount Charged — The amount actually charged to the buyer after any valid checkout discount, as recorded in the canonical transaction.
2. Platform Fee — 5% (approved Artist), 10% (Studio Pro), 15% (Instructor Pro), or 30% (Free tier), according to the seller's active commerce tier and the transaction snapshot.
3. Creator Base — Amount charged minus the applicable platform fee.
4. Creator-Product Affiliate — If valid attribution exists, the policy-controlled affiliate amount is calculated from the creator base (currently capped at 10%) and reduces the creator's share, not the protected platform fee.
5. Creator Net — Creator base minus any valid creator-product affiliate obligation.
6. Stripe/Processor Accounting — Actual processor fees and routing are accounted separately according to the transaction's Stripe topology and canonical ledger evidence.
7. Creator Release Eligibility — Studio Pro: 7 days · Instructor Pro: 14 days · Free: 30 days · approved Artist: 30 days under the current conservative policy, subject to certification holds, disputes, refunds, fraud controls, and other applicable payout holds.

Affiliate Commission Rule:

Refund Policy:

• Refund eligibility is governed by the seller's disclosed refund policy, applicable law, and Platform/payment-processor requirements.
• A refund is not treated as completed merely because an internal accounting adjustment exists; the Platform must be able to bind the refund to valid payment-processor evidence for the original transaction.
• When a refund is confirmed, creator, platform, affiliate, transfer, application-fee, and other accounting effects are determined by the canonical transaction snapshot, the payment topology, the refund amount, and applicable processor rules.
• Partial refunds, full refunds, disputes, or invalid attribution may reduce, reverse, hold, or create offsets against creator and affiliate amounts.

Release Eligibility, Payout Timing & Holds:

• The Platform's 7/14/30-day creator windows describe when eligible creator funds may become releasable under the applicable policy; they are not a guarantee of bank-deposit timing.
• After funds are eligible/released, Stripe and the connected account's payout schedule, banking rails, risk state, geography, and account configuration determine subsequent payout timing.
• Payout Holds: Certification programs may hold creator funds until the applicable certification requirements or hold policy are satisfied.
• Refunds, disputes, fraud review, negative balances, unresolved transaction identity, or other risk controls may delay or block release.

Fraud Protection & Chargebacks:

• Fraud Detection: Automated systems monitor for suspicious activity
• Detected fraud voids all commissions and may result in account termination and legal action
• Chargebacks: May result in immediate account suspension and fund withholding
• Excessive chargeback rates may result in permanent platform ban

8. Intellectual Property & Content Ownership

All Platform infrastructure, code, logos, and branding are the property of MyDanceStar Online and protected by U.S. and international copyright laws.

USER-GENERATED CONTENT:

• Content creators retain full ownership of their uploaded content (course materials, videos, images, text).
• By uploading content, you grant MyDanceStar Online a worldwide, non-exclusive, royalty-free license to display, distribute, and promote such content on the Platform.
• You warrant that you own or have full commercial rights to all content you upload.
• Platform does NOT host video files. All video content is embedded from third-party providers (YouTube, Vimeo). You are solely responsible for ensuring compliance with those platforms' terms.

9. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or products (including Amazon affiliate links, payment processors, and social media). We are not responsible for the content, policies, or practices of any third-party sites. Your use of third-party services is at your own risk.

10. Disclaimers

• We make no representations or warranties about the accuracy, reliability, or completeness of any content on the Platform.
• We do not guarantee that the Platform will be uninterrupted, secure, or error-free.
• We are not responsible for any viruses or malicious code that may infect your device.
• Instructor qualifications, certifications, and backgrounds are self-reported and not verified by us.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States of America, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of such courts and waive any objection to venue.

MANDATORY ARBITRATION: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

14. Cancellation & Support

15. Beta Platform Disclaimer & AI-Powered Features

MyDanceStar Online is an AI-powered platform currently in Beta testing phase. This means:

• Many features are powered by Artificial Intelligence (AI) and machine learning algorithms, which may occasionally produce unexpected results, errors, or incomplete outputs.
• The platform is under active development and testing. Features, functionality, and user interface may change without prior notice.
• Not all features are fully developed or may be in experimental stages.
• Bugs, glitches, downtime, data inconsistencies, or technical issues may occur periodically.
• AI-generated content (including logos, banners, marketing copy, email templates, and course suggestions) is provided "as-is" and may require human review and editing.
• Automated systems (email campaigns, scheduling, analytics) depend on AI accuracy and third-party integrations, which may fail or produce incorrect results.

BY USING THIS PLATFORM IN ITS BETA STATE, YOU EXPRESSLY ACKNOWLEDGE, UNDERSTAND, AND AGREE THAT:

• YOU ASSUME ALL RISKS associated with using a beta platform, including but not limited to:
  • Features not working correctly or failing unexpectedly
  • Data loss, corruption, or inaccuracies
  • Missed bookings, failed emails, or payment processing errors
  • AI-generated content that is inaccurate, inappropriate, or misleading
  • System downtime, outages, or performance issues
  • Integration failures with third-party services (Stripe, email providers, Google Drive, etc.)
• YOU ARE SOLELY RESPONSIBLE for:
  • Verifying that all platform features work correctly for your specific use case
  • Double-checking AI-generated content before publishing or sending to clients
  • Maintaining backup systems and processes outside the platform
  • Monitoring email delivery, booking confirmations, and payment processing manually
  • Any financial losses, missed opportunities, or business damages resulting from platform errors
• WE ARE NOT LIABLE for any damages, losses, or consequences arising from:
  • Features not working as expected during beta testing
  • AI errors, hallucinations, or inaccurate outputs
  • System outages, bugs, or technical failures
  • Lost revenue, client relationships, or business opportunities
  • Reliance on AI-generated recommendations, analytics, or insights
